1. INTRODUCTION

These Terms of Service ("Terms") govern your access to and use of the Cova Performance website, services, and products ("Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

Cova Performance ("Cova," "we," "our," or "us") is a Netherlands-based company that sells nutritional supplements through a subscription-based model. Our company is registered under Dutch law.

2. ELIGIBILITY

You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years old. If you are using the Services on behalf of a company or organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. ACCOUNT REGISTRATION

To access certain features of our Services, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. PRODUCTS AND SUBSCRIPTIONS

4.1 Product Range

We offer nutritional supplements including but not limited to: Collagen, Magnesium, Creatine, Electrolytes, and Multivitamin/Vitamin C. Product availability is subject to change.

4.2 Subscription Service

Our products are primarily sold through monthly subscription packages:

• 3 products per month: €59
• 4 products per month: €79
• 5 products per month: €89

Exact pricing is subject to change and will be clearly indicated on our website at the time of purchase.

4.3 Ordering Process

When placing an order, you are making an offer to purchase the selected products. All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any orders for any reason, including but not limited to product availability, errors in product or pricing information, or problems identified by our fraud detection systems.

4.4 Subscription Management

You may modify, pause, or cancel your subscription at any time through your account settings or by contacting our customer service. Changes to your subscription may take up to 3 business days to process and may affect your next scheduled delivery.

4.5 Payment Terms

Payment for subscriptions will be charged automatically at the beginning of each subscription period. We accept various payment methods as indicated on our website. You authorize us to charge the payment method you provide for all products you purchase and for any automatic renewal of subscriptions. If we are unable to charge your selected payment method, we reserve the right to suspend or cancel your subscription.

5. REFERRAL PROGRAM

5.1 Program Overview

Our referral program allows customers to receive discounted pricing when they successfully refer new customers.

5.2 Eligibility

All customers with an active subscription are eligible to participate in the referral program.

5.3 Rewards

When a customer refers three new people who activate subscriptions, the referring customer will receive their supplements for €9 per month (plus applicable taxes) instead of the regular subscription price, as long as all three referred subscriptions remain active.

5.4 Referral Conditions

• The referred customer must be a new customer who has not previously had an account with Cova Performance.
• The referral must be completed through our official referral process.
• The referring customer's discount will only remain active as long as the three referred customers maintain active subscriptions. If any referred customer cancels their subscription, the referring customer's discount may be adjusted accordingly.
• We reserve the right to modify or terminate the referral program at any time.
• Abuse of the referral program, including creating multiple accounts or using deceptive practices, will result in disqualification from the program and may lead to account termination.

6. SHIPPING AND DELIVERY

6.1 Delivery Timeframes

We aim to dispatch all orders within 1-2 business days. Estimated delivery times will be provided at checkout but cannot be guaranteed. Delivery times may vary depending on your location and other factors beyond our control.

6.2 Shipping Costs

Shipping costs, if applicable, will be clearly indicated during the checkout process.

6.3 Delivery Issues

You are responsible for ensuring that the shipping address you provide is accurate. We are not responsible for orders delayed or delivered to incorrect addresses due to inaccurate information provided by you.

If you have not received your order within the estimated delivery timeframe, please contact our customer service.

7. RETURNS AND REFUNDS

7.1 Return Policy

Due to the nature of our products, we generally do not accept returns unless the product is damaged, defective, or incorrect. If you receive a damaged, defective, or incorrect product, please contact our customer service within 14 days of receipt.

7.2 Refund Process

For eligible returns, we will provide a replacement or refund at our discretion. Refunds will be issued to the original payment method used for the purchase.

8.1 Product Descriptions

We strive to provide accurate descriptions of our products. However, we do not warrant that product descriptions or other content on our website are accurate, complete, reliable, current, or error-free.

The compilation of all content on our website is the exclusive property of Cova Performance and is protected by Dutch and international copyright laws.

10. USER CONDUCT

You agree not to:

• Use our Services for any illegal purpose or in violation of any Dutch laws
• Interfere with or disrupt our Services or servers
• Attempt to gain unauthorized access to any part of our Services
• Use our Services to transmit any malware or other malicious code
• Harvest or collect email addresses or other contact information from our website
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Cova Performance shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our Services or products, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from or related to our Services or products shall not exceed the amount paid by you for the product(s) giving rise to such claim.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Cova Performance, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Your conduct in connection with our Services

13. TERMINATION

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use our Services will immediately cease. If you wish to terminate your account, you may simply discontinue using our Services or contact us to request account deletion.

14. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website. Your continued use of our Services after such modifications will constitute your acknowledgment of the modified Terms and agreement to be bound by them.

15. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in the Netherlands.

16. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

17. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cova Performance regarding our Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning our Services.
